Clientèle has proposed a delisting from the JSE combined with a conditional share buyback offer to shareholders at approximately R19.90 per share. Shareholders can either exit via the offer or remain invested in an unlisted entity, with limited annual liquidity windows to sell shares thereafter. In addition, Clientèle plans to issue new shares to Acacia Empowerment Investments to increase black ownership above 10% and raise capital, as well as a management share scheme to align executives with long-term performance.
